The Plan Administrator or its delegate has the sole and complete discretion to interpret the Entergy employee benefit plans, including any ambiguous or uncertain terms, and to determine eligibility for participation in the Entergy employee benefit plans, and any information contained in this material is expressly subject to such interpretation. Entergy Corporation, as plan sponsor of the Entergy employee benefit plans, has the right in its sole discretion to terminate, suspend, withdraw, amend or modify any or all of the Entergy employee benefit plans at any time, including any of the benefits, programs or parts of programs provided for under the plans. Any such termination, suspension, withdrawal, amendment, or modification may affect eligible employees, as well as eligible disabled participants and eligible retired participants, and their spouses and eligible dependents. To the extent required by law or where a collective bargaining agreement expressly states otherwise, changes affecting active bargaining unit employees are subject to negotiation with the bargaining unit representative prior to implementation. If any material changes are made to any of the Entergy employee benefit plans in the future, you will be notified.
